Terms of Use

HelpHive Care Inc. ("HelpHive", "Us" or "We") provides the www.helphive.ca website, HelpHive mobile application and various related services, including external social media sites (collectively, the "Platform") to individuals seeking to obtain household and daily living services (“Clients”) and individuals seeking to perform such services for Clients (“Helpers” and together with Clients, the “Users” and each a “User”), subject to the User’s compliance with all the terms, conditions, and notices contained or referenced herein (the "Terms"), as well as any other written agreement between us and the User. BY ACCESSING OR USING THE PLATFORM THE USER AGREES TO BE BOUND BY THESE TERMS.


Users may use the Platform only if they are eighteen (18) years of age or older and legally able to form a binding contract in British Columbia, Canada or in the User’s jurisdiction. If a User is accepting the Terms on behalf of a corporation, other legal entity, or another individual, the User represents and warrants that they are authorized to do so.


CHANGES IN PLATFORM


We reserve the right, in our sole discretion, to either modify or discontinue the Platform, including any of the related features, at any time with or without notice to the User. We will not be liable to the User or any third party should we exercise such right. Any new features that augment or enhance the then-current services on the Platform shall also be subject to these Terms. The User agrees to periodically review these Terms in order to be aware of any such modifications and the User’s continued use shall be acceptance of these.


SERVICES


HelpHive is a neutral venue or marketplace connecting Clients and Helpers.


Clients may purchase short-term services for personal, household and daily living support, such as companionship, meal preparation, housekeeping, technology assistance and other non-medical support, from Helpers through the Platform (collectively, “Services”). For greater certainty, the Services are not performed by HelpHive itself.


Clients may obtain Services from Helpers by making a request through the Platform (a “Service Request”). Services may only be ordered and obtained from Canadian Provinces and Territories. All Services must be performed at the location specified by the Client in the applicable Service Request (the “Service Location”). The Client is responsible for providing accurate information regarding the Service Location when submitting a Service Request. Helpers shall not perform any portion of the Services at any location other than the Service Location unless the Client has updated the Service Location through the Platform prior to the commencement of the Services.


HelpHive does not authorize or assume responsibility for any Services performed outside of the Service Location. This includes, without limitation, Services involving transportation of Clients or accompanying Clients away from the Service Location. Any such activities are undertaken solely at the Users’ own risk and fall outside the scope of the Services contemplated by these Terms.


Each User acknowledges and agrees that HelpHive does not guarantee and does not promise that any particular Services will be available through or requested on the Platform, whether on a timely basis or at all, and further does not guarantee nor promise any specific results from use of the Platform or Services. The content on the Platform regarding the Services is provided solely for general information purposes and does not constitute professional advice of any nature.


RELATIONSHIP BETWEEN HELPERS AND CLIENTS


Helpers are independent of HelpHive, providing Services under their own name (and not under HelpHive’s name). The relationship between Helpers and Clients is a direct relationship; Helpers are not agents, employees, partners or representatives of HelpHive. HelpHive is not a party to that relationship and Helpers are solely responsible for any Services they provide to Clients.


For greater certainty, Helpers listed on HelpHive are not under HelpHive’s direction or control; they determine in their own discretion how to best perform the Services. Further, because Helpers are independent contractors, they have freedom over their rates, schedule, and which requests to accept.

Clients are responsible for ensuring that any required insurance, permits, or access permissions related to their Service Request are in place.


USE OF CLIENT INFORMATION


Helpers acknowledge and agree that any information they obtain pertaining to Clients through the Platform, including but not limited to a Client’s name, contact details and address is strictly confidential and provided to the Helper through the Platform solely for the purpose of completing the Services requested by the Client through the Platform. Helpers are given Client contact details after they have accepted a Service Request (a “Booking”) and may then contact the Client regarding that specific Booking only.


All communications and payments between Helpers and Clients must be conducted exclusively through the Platform. Helpers shall not directly or indirectly solicit, contact, engage, or enter into any transaction or business relationship with Clients outside the Platform based on such Client information.


BACKGROUND CHECKS


HelpHive reserves the right to subject Helpers to a review process before they can use the Platform, which may include (without limitation), identity verification and criminal background checks facilitated by third party services as appropriate (“Background Checks” and each, a “Background Check”).


Helpers agree, to the extent permitted under applicable law, to undergo such Background Checks.


The User hereby agrees that HelpHive cannot, and does not, assume any responsibility or liability for the accuracy or reliability of Background Check information, nor for any false or misleading statements made by Users of the Platform.


HelpHive does not verify or guarantee, and expressly disclaims, that any qualifications, certifications, or work experience claimed by a Helper are accurate, current, or valid. Should HelpHive become aware that a Helper has provided false or misleading information, HelpHive will suspend or permanently remove that Helper’s access to the Platform.


USER OBLIGATIONS; ACCEPTABLE USE


The User is solely responsible for their use of the Platform and any content the User submits as part of their use of the Platform, including content the User submits to our external social media sites.


When using the Platform and in providing or receiving Services, the User agrees to:


  1. Obey all applicable laws and regulations;
  2. Comply with the HelpHive Community Code of Conduct (included below);
  3. Not submit any content (privately or publicly) via forms or chat, video, or other features on the Platform, to our external social media sites, or to emails published on the Platform, or otherwise engage in any behaviour with respect to provision or receipt of the Services, that:


  1. is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, contains explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), or otherwise violates our rules or policies;
  2. victimizes, harasses, degrades, or intimidates an individual or group of individuals for any reason, including on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
  3. infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary or intellectual property right of any party;
  4. constitutes unauthorized or unsolicited advertising, junk or bulk email (also known as "spam"), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;
  5. contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party; and/or impersonates any person or entity, including any of our employees or representatives.


We may delete any content of which we become aware that violates the above, at any time without notice to the User. Notwithstanding the foregoing, we neither endorse nor assume any liability for the contents of any material on the Platform, including content uploaded or submitted by Users of the Platform. Furthermore, HelpHive is not responsible for the actions of, or uses of, Users with respect to the Platform nor with respect to the provision or receipt of the Services.


In addition, the User agrees as follows with respect to their use of the Platform:


  1. not to alter or modify any part of the Platform;
  2. not to bypass, disable or otherwise interfere with any security-related features of the Platform or features that prevent or restrict use or copying of any Platform content or enforce limitations on use of the Platform or the Platform content;
  3. not to take any action that imposes or may impose (as determined by HelpHive in its sole discretion) an unreasonable or disproportionately large load on HelpHive's (or its third party providers') infrastructure;
  4. not to use or launch any system that accesses the Platform automatically or to install or transmit any computer program or software on or via the Platform;
  5. to act in a respectful and conscientious manner when using the Platform;
  6. that the User is not entitled to remuneration or compensation of any kind from us for their use of the Platform; and
  7. not to use the Platform for any commercial purpose not intended to be allowed by the Platform without our prior written consent, including (without limitation):


  1. sale or distribution of controlled substances;
  2. services requiring a professional license, certification or other authorization from a public or regulatory federal or provincial body; or
  3. engagement in activity that is illegal, unsafe, dangerous, harmful or considered inappropriate in the sole discretion of HelpHive or otherwise in violation of these Terms or HelpHive’s other rules or policies.


The User may not use their account or the Platform to breach security of another account or attempt to gain unauthorized access to another network or server. Not all areas of the Platform may be available to the User or other Users of the Platform. The User shall not interfere with anyone else's use and enjoyment of the Platform or other similar services. Users who violate systems or network security may incur criminal or civil liability. The User acknowledges that they will cooperate fully with investigations of violations of systems or network security at the Platform, including without limitation cooperating with law enforcement authorities in investigating suspected criminal violations.


THE USER’S FAILURE TO COMPLY WITH ANY OF THE ABOVE CONDITIONS AND RESTRICTIONS OF USE CONSTITUTES GROUNDS FOR US TO IMMEDIATELY, AND IN OUR SOLE DISCRETION, TERMINATE THE USER’S ACCESS TO AND USE OF THE PLATFORM AND ITS CONTENTS. The User agrees that we may at any time, and at our sole discretion, terminate the User’s membership, account, or other affiliation with the Platform without prior notice to the User for violating any of the above provisions. IN SUCH EVENT, WE SHALL HAVE NO LIABILITY TO THE USER OR ANY THIRD PARTY FOR THE USER’S FAILURE TO COMPLY WITH THE TERMS OR ANY LOSSES OR DAMAGES THAT MAY RESULT FROM THE USER’S USE OF THE PLATFORM, NOR FOR ANY INTERRUPTION OR TERMINATION OF THE USER’S ACCESS OR USE OF THE PLATFORM.


ACCOUNT REGISTRATION


As a condition to using certain aspects of the Platform, the User may be required to register an account with HelpHive and select a username and password. Should the User register an account, they shall provide HelpHive with accurate and complete registration information, and promptly update that information if that information changes. Failure to do so shall constitute a breach of these Terms, which may result in immediate termination of the User’s account.


Please note that the User is responsible for using their legal name as part of the User’s account registration. Failure to do so is a breach of these Terms and means we may not be able to provide all or part of the Platform to the User.


The User is solely responsible for activity that occurs on their account and shall be responsible for maintaining the confidentiality of their account password. The User is required to promptly notify us should they suspect or become aware of any unauthorized use of their account.


SERVICE QUALITY AND ACCOUNT REVIEW


Helpers are evaluated after each Booking based on Client ratings and feedback. If a Helper receives three or more ratings of three (3) stars or below within any rolling ninety (90) day period, their account may be subject to review and potential suspension or removal from the Platform.


Any verified incident involving safety concerns, abuse, neglect, or serious misconduct will result in immediate suspension or permanent removal, regardless of the Helper’s rating history or prior performance.


PAYMENTS AND SERVICE FEES


When a Client makes a Service Request through the Platform, they agree to pay the following:


  1. the fee for the Service Request, at the Helper’s rates and as agreed-upon by the Client and the Helper;
  2. any out-of-pocket expenses agreed-upon by the Client and the Helper and submitted by the Helper related to the Service Request; and
  3. taxes and any processing fees or similar charges as required by Stripe; (collectively, the “Service Payment”).


If a Client chooses to make a Service Request through the Platform, they agree to the following additional terms:


  1. The Client is not making the Service Request for any non-personal or resale purposes;
  2. The Client agrees to pay the full amount of the Service Payment;
  3. HelpHive does not receive or handle the User’s financial details. All payments will be processed through Stripe and will be governed by their terms of use. Please see their website(s) for further information.
  4. We reserve the right to cancel a Service Request at any time at our sole discretion (for example, if there is a violation of these Terms).


When Helpers accept a Service Request through the Platform, they agree to the following additional terms:


  1. Helpers shall have the right to set their pricing within an approved range and to change prices at any time.
  2. Unless otherwise specified, all prices on the Platform are to be set and displayed in Canadian dollars.
  3. HelpHive charges a fee equal to fifteen percent (15%) of the Service Payment for each Service Request as compensation for facilitating the connection between Clients and Helpers, payment processing, maintenance of the Platform and other associated services. The remaining eighty-five percent (85%) of the payment will be paid to the Helper. This will be facilitated through Stripe.
  4. Helpers are responsible for all transportation-related expenses incurred in providing services, including travel time, mileage, fuel, parking, and any other costs associated with reaching or leaving a Client’s location. Helpers are expected to set their rates within the approved range at a level that accounts for their own travel requirements and overall cost of providing the service. Helpers may accept or decline any Service Request based on travel distance or associated expenses.


Users are responsible for keeping all their information current and accurate, including payment and contact information.


Further, Helpers are solely responsible for complying with their own tax and business registration requirements. HelpHive does not withhold taxes or make employment-related deductions.


CANCELLATION POLICY


Clients may cancel a Service Request and receive a full refund by providing notice at least twenty-four (24) hours before the scheduled start time. Any cancellation provided less than 24 hours before the scheduled start time of the Service Request shall result in 50% of the total service cost being charged to the Client.


If a Helper needs to cancel a confirmed Booking, they must provide as much notice as possible to the applicable Client directly through the Platform so that Clients have sufficient time to make alternative arrangements. If a Helper cancels more than two confirmed Bookings within any sixty(60)-day period, or if the Helper fails to fulfill a confirmed Booking without notice, such incidents shall be considered a breach of these Terms and may result in suspension or removal from the Platform.


NOT A HEATH CARE PLATFORM


HelpHive provides the Platform for a range of uses which may have application in a wide variety of fields. However, Users may not use the Platform to provide or obtain health care services. HelpHive is not a health care provider; HelpHive acts solely as a services intermediary between Helpers and Clients with respect to the Services, and the Platform enables the exchange of information between Helpers and Clients.


Services arranged through the Platform are limited to non-medical support, such as companionship, light housekeeping, meal preparation, technology assistance and other similar daily living activities. These Services are not a substitute for professional health care, personal care or emergency services.


Without limiting the generality of the foregoing, Users shall not use the Platform to arrange for, provide, or receive any of the following activities:


  1. medical assessment, diagnosis, treatment or advice, whether in person or remotely;
  2. administration, management or monitoring of prescription or non-prescription medications, including injections, wound care or other medical procedures;
  3. lifting, transferring or physically moving Clients where such activity would reasonably require specialized training, equipment or professional assistance, including transfers to or from beds, chairs, toilets or vehicles;
  4. management, set-up or operation of medical devices or equipment beyond basic non-clinical assistance that does not involve clinical judgment;
  5. any activity that, under applicable law, regulation or professional standards, is required to be performed by a licensed or regulated health care provider.


Helpers must decline or discontinue any Service Request that would require them to engage in any of the above prohibited activities or otherwise provide health care services.


SHOULD THE USER HAVE ANY QUESTIONS OR NEEDS WITH RESPECT TO HEALTH CARE, PLEASE CONSULT A HEALTH CARE PRACTITIONER REGULATED AND LICENSED BY PUBLIC OR REGULATORY BODY IN THE USER’S JURISDICTION. THE USER MUST NOT USE THE PLATFORM FOR EMERGENCY MEDICAL NEEDS. IF THE USER BELIEVES THAT THEY ARE DEALING WITH A MEDICAL EMERGENCY, CALL 911 (OR OTHER LOCAL EMERGENCY NUMBER) IMMEDIATELY OR ATTEND THE NEAREST EMERGENCY ROOM.


PRIVACY, THIRD PARTY PLATFORMS AND INFORMATION


By agreeing to these Terms and using the Platform, the User also agrees to the HelpHive Privacy Policy located at www.helphive.ca/privacy. Please review the Privacy Policy carefully before using the Platform.


The Platform may link the User to other sites on the Internet or otherwise include references to information, documents, software, materials and/or services provided by other parties. Please review the terms of use and privacy policies of such third party sites carefully before using their sites. These other sites and parties are not under our control, and the User acknowledges that we are not responsible for the accuracy, copyright compliance, privacy practices, legality, decency, or any other aspect of the content of such sites, nor are we responsible for errors or omissions in any references to other parties or their products and services. The inclusion of such a link or reference is provided merely as a convenience and does not imply endorsement of, or association with, the sites or party by us, or any warranty of any kind, either express or implied. The User hereby agrees to waive, and hereby does waive, any legal or equitable rights or remedies the User has or may have against us with respect to such links, website and third party information, and, to the extent permitted by applicable law, agree to indemnify and hold us harmless to the fullest extent allowed by law regarding all matters related to the User’s use of the Platform.


The User shall have sole responsibility for the accuracy, currency, quality, integrity, legality, reliability, and appropriateness of all of any data, information or materials gathered, compiled, uploaded, created, written, entered, amended, or otherwise authored by the User using the Platform (“User Data”) and HelpHive shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store, monitor or transmit any data. HelpHive shall not be responsible for adequate security, archival and/or back-up procedures on the User’s behalf.


Please do not submit confidential or proprietary information to us unless we have mutually agreed in writing otherwise. Subject to our Privacy Policy, any communication, content or material that the User transmits to the Platform or to us, whether by electronic mail, post, or other means, for any reason, will be treated by default as non-confidential and non-proprietary.


INTELLECTUAL PROPERTY INFORMATION


The Platform, as may be developed or enhanced by HelpHive from time to time, is the sole property of HelpHive and/or its licensors.


For the purposes of these Terms, "content" is defined as any information, data, communications, software, photos, video, graphics, music, sounds, and other material and services that can be viewed by Users on the Platform. This includes message boards, chat, and other original content.


The User may not copy, reproduce, modify, republish, upload, post, transmit, sell, license, distribute or otherwise exploit content from the Platform in any form or by any means without prior written permission from us or the specific content provider, and the User is solely responsible for obtaining permission before reusing any copyrighted material that is available on the Platform. Any unauthorized use of the content appearing on the Platform may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.


We do not warrant or represent that the User’s use of content and other materials displayed on, or obtained through, the Platform will not infringe the rights, including without limitation intellectual property rights, of third parties.


The User shall own all right, title and interest in and to User Data, provided that, to the extent required to provide the Platform, the User grants to HelpHive, a perpetual, unlimited, irrevocable, royalty-free, worldwide, non-exclusive, transferable license permitting us to collect, use, reproduce, adapt, modify, copy, run, bundle, create derivative works of, transmit, display and distribute User Data for such purposes. We may access User Data, to respond to service or technical problems or as stated in these Terms. We will not monitor, edit, or disclose any information regarding the User’s account, including any of User Data, except in accordance with these Terms, applicable laws, or at the direction of legal authorities. The User authorizes us to use User Data to provide services as well as to improve services or the Platform.


The User shall be solely responsible for the User’s content and the consequences of submitting such content to us and the Platform. Where the User uploads or posts any information or other content to the Platform, the User represents and warrants to us that they have the right to post this content and to grant the licenses to us described in these Terms, that such content contains no viruses or other malicious programming, that its posting does not infringe the intellectual property rights of another person, and that the content does not breach any of the provisions of these Terms.


SAFETY; ASSUMPTION OF RISK


The Platform enables Clients and Helpers to arrange in-person Services, which may include entry into private homes or other personal spaces. The User acknowledges that there are inherent risks associated with inviting another person into their home or attending at another person’s home or premises, including risks of property damage, physical injury, illness or other harm.


Clients are solely responsible for ensuring that the Service Location is safe and suitable for the provision of the Services. This includes ensuring appropriate access, lighting and general safety, and securing or removing valuables, sensitive information, hazardous materials, weapons, or any other items that could present a risk of loss or harm. Helpers are solely responsible for assessing whether they feel safe attending at any Service Location or performing any particular Service, and may decline or discontinue a Service if they reasonably believe it is unsafe or inappropriate.


HelpHive does not control, supervise or direct Helpers or Clients, does not inspect Service Locations and does not guarantee the condition, safety or suitability of any Service Location or User. To the fullest extent permitted by applicable law, the User assumes all risks arising out of or relating to their interactions with other Users and their use of the Platform and the Services, including any risks associated with in-person meetings, entry into private homes, and the presence of pets, third parties or environmental conditions at the Service Location.


DISCLAIMER OF WARRANTIES


THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THE WARRANTY OF NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT (A) THE PLATFORM AND CONTENT, NOR THE PROVISION OF OR RECEIPT OF SERVICES, WILL MEET THE USER’S REQUIREMENTS OR BE FIT FOR THE USER’S PURPOSE OR PARTICULAR USE, (B) THE USER’S USE OF OR ACCESS TO THE PLATFORM, CONTENT OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM, CONTENT OR SERVICES WILL BE EFFECTIVE, ACCURATE OR RELIABLE, OR (D) THE QUALITY OF ANY SERVICES OR INFORMATION PROVIDED BY OR RECEIVED BY THE USER FROM THE PLATFORM WILL MEET THE USER’S EXPECTATIONS OR BE FREE FROM MISTAKES, ERRORS OR DEFECTS.


THE PLATFORM COULD INCLUDE TECHNICAL OR OTHER MISTAKES, INACCURACIES OR TYPOGRAPHICAL ERRORS. WE MAY MAKE CHANGES TO THE PLATFORM AND THE CONTENT, INCLUDING THE PRICES AND DESCRIPTIONS OF ANY SERVICES LISTED HEREIN, AT ANY TIME WITHOUT NOTICE. THE PLATFORM OR THE CONTENT MAY BE OUT OF DATE, AND WE MAKE NO COMMITMENT TO UPDATE THE PLATFORM OR SUCH CONTENT.


THE PLATFORM COULD INCLUDE BUGS, VIRUSES, TROJAN HORSES, OR OTHER DAMAGING OR MALICIOUS COMPUTER PROGRAMS OR SOFTWARE, AND THE PLATFORM PROVIDED COULD BE INTERRUPTED OR CEASED FROM TIME TO TIME. THE USE OF THE PLATFORM OR THE DOWNLOADING OR OTHER ACQUISITION OF ANY CONTENT IS DONE AT THE USER’S OWN DISCRETION AND RISK AND WITH THE USER’S AGREEMENT THAT THEY WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO THEIR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH THREATS OR ACTIVITIES.


Content available through the Platform often represents the opinions and judgments of an information provider, site user, or other person or entity not connected with us. We do not endorse, nor are we responsible for the accuracy or reliability of any opinion, advice, or statement made by anyone other than an authorized HelpHive spokesperson speaking in his/her official capacity.


The User understands and agree that temporary interruptions of the Services available through the Platform may occur as normal events. The User further understands and agrees that we have no control over third party networks the User may access in the course of the use of the Platform, and therefore, delays and disruption of other network transmissions are completely beyond our control.


SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO THE USER.


LIMITATION OF LIABILITY


IN NO EVENT SHALL WE BE LIABLE TO THE USER OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES OR LOSSES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND ON ANY THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE PLATFORM OR OF ANY WEB PLATFORMS REFERENCED OR LINKED TO FROM THE PLATFORM.


SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO THE USER.


IN THE EVENT THAT ANY CLAIM OR LIABILITY ARISES AGAINST US, OUR AGGREGATE LIABILITY IN CONNECTION WITH THIS AGREEMENT, THE USER’S USE OF THE PLATFORM AND/OR RELATED PLATFORM OR ANY OTHER CIRCUMSTANCE GIVING RISE TO LIABILITY SHALL BE LIMITED TO DIRECT DAMAGES ONLY, AND SUCH DIRECT DAMAGES SHALL NOT EXCEED $50.


HelpHive has no special relationship with or fiduciary duty to the User. The User acknowledges that HelpHive has no control over, and no duty to take any action regarding: what content or Services the User accesses via the Platform; what effects the content or Services may have on the User; how the User may interpret or use the content or Services; or what actions the User may take as a result of having been exposed to the content or Services. The User releases HelpHive from all liability for User having acquired or not acquired content or Services through the Platform.


INDEMNIFICATION


UPON A REQUEST BY US, THE USER AGREES TO DEFEND, INDEMNIFY, AND HOLD US HARMLESS FROM ALL LIABILITIES, CLAIMS, AND EXPENSES, INCLUDING SOLICITOR-CLIENT COSTS ON A FULL INDEMNITY BASIS, THAT ARISE FROM THE USER’S: (A) USE OR MISUSE OF THE PLATFORM; (B) VIOLATION OF ANY OF THE TERMS; (C) VIOLATION OF ANY THIRD PARTY RIGHT, INCLUDING, WITHOUT LIMITATION, ANY INTELLECTUAL PROPERTY OR PRIVACY RIGHT, OR; (D) ANY CLAIM THAT THE USER’S CONTENT CAUSED DAMAGE TO A THIRD PARTY. WE RESERVE THE RIGHT, AT OUR OWN EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY THE USER, IN WHICH EVENT THE USER WILL COOPERATE WITH US IN ASSERTING ANY AVAILABLE DEFENSES. THIS DEFENSE AND INDEMNIFICATION OBLIGATION WILL SURVIVE THESE TERMS AND THE USER’S USE OF THE PLATFORM.


TERMINATION OF USE


The User agrees that we may, in our sole discretion, terminate or suspend their account or access to all or part of the Platform with or without notice and for any reason including, without limitation, breach of these Terms. Any suspected fraudulent, abusive or illegal activity may be grounds for termination and may be referred to appropriate law enforcement authorities.


Upon termination or suspension, regardless of the reasons therefore, the User’s right to use the Platform immediately ceases, and the User acknowledges and agrees that we may immediately deactivate or delete their account and all related information and files in their account and/or bar any further access to such files or the Platform. We shall not be liable to the User or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us in connection with such termination or suspension.


DISPUTE RESOLUTION


In the event of a disagreement, Clients and Helpers agree to cooperate in good faith and in accordance with HelpHive’s dispute resolution process. HelpHive may, at its discretion, mediate or facilitate resolution but is not obligated to resolve all disputes. HelpHive’s role in any dispute is limited to the functions expressly stated in these Terms.


GOVERNING LAW


The Platform (excluding any linked site) is controlled by us from our offices within British Columbia, Canada. It can be accessed from other areas of Canada as well as other countries around the world. As each of these places has laws that may differ from those of British Columbia, by accessing this Platform the User agrees with us that the statutes and laws of the Province of British Columbia, without regard to any conflicts of laws principles or any other legislation of any other jurisdiction, will apply to all matters relating to the use of the Platform and the purchase of services available through the Platform. The User agrees to submit to the exclusive personal jurisdiction and venue of any court of competent jurisdiction within the Province of British Columbia for all matters arising from their use of the Platform.


ENTIRE AGREEMENT


Unless otherwise provided herein, these Terms constitute the entire agreement and understanding between us concerning the subject matter of this agreement and supersedes all prior agreements and understandings of the parties with respect to that subject matter. These Terms may not be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for services which are subject to additional or altered terms and conditions shall be null and void, unless otherwise agreed to in a written agreement signed by the User and us. To the extent that anything in or associated with the Platform is in conflict or inconsistent with these Terms, these Terms shall take precedence.


MISCELLANEOUS


Any cause of action brought by the User against us must be instituted within two years after the cause of action arises or be deemed forever waived and barred.


The User may not assign their rights and obligations under these Terms to any party, and any purported attempt to do so will be null and void. We may freely assign our rights and obligations under these Terms.


The User agrees not to sell, resell, reproduce, duplicate, copy or use for any commercial purposes any portion of the Platform, or use of or access to the Platform.


If any part of these Terms is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.


Any failure by us to enforce or exercise any provision of these Terms or related rights shall not constitute a waiver of that or any other right or provision.


HelpHive reserves the right to monitor the User’s access to and use of the Platform and the Services to ensure compliance with these Terms.


CHANGES TO THE TERMS


These Terms are effective as of the Effective Date. We reserve the right to change these Terms from time to time without notice to the User. The User acknowledges and agrees that it is their responsibility to review the Platform and these Terms from time to time, and to familiarize themselves with any modifications or revisions that may be made. The User’s continued use of the Platform after such modifications or revisions will constitute their acknowledgement of the modified Terms, and the User’s agreement to abide and be bound by the modified Terms.

HELPHIVE COMMUNITY CODE OF CONDUCT


This Code of Conduct applies to all Users of the HelpHive Platform — including both Clients and Helpers — to promote a safe, respectful, and professional community.


1) Purpose and Principles

  1. HelpHive is a neutral online marketplace that connects Clients seeking assistance with independent Helpers who offer services.
  2. To protect the integrity, trust, and safety of the platform, all Users agree to act with professionalism, honesty, and mutual respect.
  3. This Code sets out the standards of conduct expected from everyone using HelpHive.


2) Respect and Professional Conduct

  1. All Users must treat each other with respect, courtesy, and professionalism.
  2. Discrimination, harassment, hate speech, or abusive behavior toward any person on the Platform is strictly prohibited.
  3. Communication should be clear, honest, and professional, conducted primarily through the HelpHive platform.


3) Honesty and Accuracy

  1. Users must provide truthful and accurate information in their profiles, Service Requests, and communications.
  2. Helpers are responsible for accurately representing their skills, experience, and credentials.
  3. Clients must describe Service Requests honestly and completely, including relevant details about the nature, scope, and location of the work.
  4. HelpHive does not verify or guarantee the accuracy of any User-provided information or qualifications.
  5. If HelpHive becomes aware that a User has provided false or misleading information, HelpHive may suspend or permanently remove that User’s account.


4) Quality, Safety, and Legal Compliance

  1. Helpers agree to perform Services with reasonable care, skill, and diligence consistent with the view of a reasonable third party.
  2. Clients must ensure that any environment where a Service Request is carried out is safe, lawful, and suitable for the agreed work.
  3. All Users must comply with applicable laws, regulations, and safety standards.
  4. HelpHive does not supervise, manage, or control how Services are performed.


5) Reliability and Commitments

  1. Clients and Helpers should honor accepted Service Requests and communicate promptly if rescheduling or cancellation is necessary.
  2. Repeated cancellations, no-shows, or unresponsiveness may result in account suspension or removal.
  3. Both parties are expected to maintain reasonable punctuality and reliability in fulfilling confirmed Service Requests.
